Spinbox

Subscriber Terms

Version 1 · effective 28-09-2026

These terms are the agreement between Spinbox and the business that signs up. They cover your licence to use Spinbox, what you must not do with it, your data, fees and cancelling. You accept them by ticking the box when you sign up.

1. Who we are and accepting these terms

1.1 Spinbox is a business name of Mark Ranjith Jayasekera, ABN 98 480 091 051 (we, us). It runs the Spinbox software at spinboxep.com.

1.2 These terms are an agreement between us and the business that signs up (you). You accept them by ticking the box at sign-up or by using Spinbox. The person signing up confirms they are authorised to bind that business.

1.3 Definitions:

2. Your licence, and who owns what

2.1 While your subscription is active, we give you a non-exclusive, non-transferable licence. It lets your Authorised Users use Your Box to run your own event business in the ordinary course.

2.2 We and our licensors own the Platform and all intellectual property in it, including its code, design, layout, workflows, wording, templates and the look and feel of its screens. You get no ownership. Every right not expressly given to you is kept by us.

2.3 If you send us suggestions or feedback, we may use them freely without paying you or giving you credit.

2.4 “Spinbox”, the Spinbox name and the cube logo are our brand. You may not use them, or anything confusingly similar, except to say that you use Spinbox.

3. What you must not do

You must not, and must not let or help anyone else:

  1. copy, reproduce, imitate or recreate the Platform, or any substantial part of its screens, workflows, features, wording or templates, in any product or service;
  2. use the Platform, or anything learned from using it, to design, build, improve or market a product that competes with Spinbox;
  3. decompile, reverse-engineer, disassemble or try to extract the source code, database structure or internal workings of the Platform, except as far as the law expressly allows despite this clause;
  4. scrape, crawl, bulk-download or systematically record the Platform’s screens, code or content. This includes automated tools and screen recordings made to document its design. It does not include exporting Your Data;
  5. sign up, or let anyone use Your Box, for or on behalf of a competitor, a software developer or a consultant assessing the Platform for someone else;
  6. sell, sublicense, rent, white-label, resell or share access to the Platform, or let anyone other than Authorised Users use it;
  7. share logins between people, or get around any security, usage limit or feature restriction;
  8. remove or hide any ownership, copyright or brand notice; or
  9. use the Platform for anything unlawful, or to send spam.

These restrictions continue after your subscription ends.

4. Who can sign up

4.1 Spinbox is only for businesses that run or supply events, operating under an ABN or an overseas equivalent. It is not for software businesses, consultants or anyone evaluating it for a competing product.

4.2 At sign-up you must give true details: your business name, ABN, website or social pages, and a contact person. We may check them.

4.3 We may refuse any sign-up, or ask for more information before we open Your Box, at our discretion. If we refuse, we do not have to give a reason, and you will not have been charged.

4.4 You must tell us within 14 days if your business is sold, changes hands, or starts building or selling software.

5. Keeping the Platform confidential

5.1 Some parts of the Platform are our confidential information: anything behind a login, starter content, templates, pricing arrangements, our roadmap, and anything we tell you is confidential.

5.2 You must keep it confidential and use it only to use Your Box. You may share it with your Authorised Users only as far as they need it, and you are responsible for what they do with it.

5.3 This does not cover information that is already public through no fault of yours, or that the law requires you to disclose.

5.4 This clause continues for 3 years after your subscription ends.

6. Your Data

6.1 You own Your Data. We use it only to run Your Box, keep it secure, back it up, provide support and meet the law. We do not sell it.

6.2 You are responsible for having the right to put Your Data into Spinbox, and for telling your clients how you handle their information. We handle personal information according to our Privacy Policy and the Privacy Act 1988 (Cth), where it applies.

6.3 You can export Your Data at any time while subscribed, and for 30 days after your subscription ends. After that we may delete it, except for anything we must keep by law, such as tax invoices.

6.4 Your right to export covers your data only. It does not cover the Platform’s design, code or templates.

7. Fees

7.1 Spinbox costs $55.00 AUD a month per business, including GST ($50.00 plus $5.00 GST). New subscribers get a 14-day free trial, and no card is needed to start. We may extend a trial at our discretion; any extension is confirmed to you by email.

7.2 Before the trial ends we will ask for a card. It is charged monthly in advance through our payment provider, Stripe. We never see or store your full card number. We email a tax invoice each month.

7.3 Price lock: you keep the price you joined on for 12 months from your sign-up date. After that you move to the current price, which is then locked for another 12 months. We give at least 30 days’ email notice of any change.

7.4 If a payment fails, we retry over about two weeks. If it still has not been paid, we may suspend Your Box until it is paid.

7.5 You can cancel at any time, effective at the end of the month you have paid for. We do not refund part-months, except where the law requires it.

8. Suspension and termination

8.1 We may suspend Your Box straight away, and tell you why, if we reasonably believe you have breached clause 3 (What you must not do) or clause 5 (Confidentiality), gave false sign-up details, or are putting the Platform’s security at risk.

8.2 For any other breach, we will give you written notice and 14 days to fix it before we terminate.

8.3 If we terminate for a breach of clause 3 or 5, we will still give you 30 days to export Your Data, in a way that does not give access to the Platform itself. For example, we can email you a data file.

8.4 When the agreement ends, your licence ends. You must stop using the Platform and destroy any copies of our confidential information. Clauses 2, 3, 5, 6.3 and 9 continue after it ends.

9. Liability, remedies and law

9.1 Nothing in these terms excludes any right you have under the Australian Consumer Law that cannot lawfully be excluded.

9.2 Otherwise, the Platform is provided as it stands. As far as the law allows, our total liability to you is limited to the fees you paid in the 12 months before the claim. We are not liable for indirect loss, such as lost profits or lost bookings.

9.3 A breach of clause 3 or 5 could cause us harm that money alone cannot fix. You agree that we may seek an injunction or other court orders to stop it, as well as damages. You also agree to pay our reasonable legal costs of enforcing those clauses.

9.4 We may update these terms with at least 30 days’ email notice. If a change is materially worse for you, you may cancel before it takes effect.

9.5 These terms are governed by the laws of Victoria, Australia, and the courts of Victoria have jurisdiction.
